TERMS AND CONDITIONS

SONIC TICKET TO HAPPINESS CONTEST (“Contest”)

1. This Contest is organized by Viacom 18 Media Pvt. Ltd. (“Organizer”), and is open to all individual participants who shall as on 17th October 2022 (“Participant(s)”):

1.1. are citizens of India;

1.2. be between the age group of 4 (four) years to 14 (fourteen) years (both included);

1.3. have a permanent place of residence in India;

1.4. be viewers of the channel “Sonic” (“Channel”); and

1.5. are mobile subscribers of Bharti Airtel, Vodafone Idea (VI), Mahanagar Telephone Nigam Ltd., Mumbai, Bharat Sanchar Nigam Ltd., and Jio (“Service Provider”).

2. Participation by minors will be deemed as participation with the prior unconditional consent and knowledge of the Participant’s parents/guardian. It is made abundantly and evidently clear that such Participants are participating in the Contest with the consent and assistance of their parents/guardians. Accordingly, the Participants shall provide all the necessary documents/proof as required by the Organizer upon its request in this regard. The validity of such proof shall be determined by Organizer at its own discretion. All the Terms and Conditions, Rules applicable on Participants/Shortlisted Participant/Winner shall deemed to also apply on the parents/guardians of such Participants/Shortlisted Participant/Winner.

3. The Contest shall be held every Monday to Friday commencing on 17th October 2022, at 05:00 P.M., and end on 11th November 2022, at 08:00 P.M., or on such other dates, and time as decided by the Organizer (“Contest Period”). Any entries received after the Contest Period shall not be entertained, and shall be considered ineligible for the Contest.

4. Modes of Participation: To participate in the Contest, the Participant will be required to do all of the following:

3.1. A Participant is required to watch the Channel every Monday – Friday from 05:00 P.M. till 08:00 P.M. during the Contest Period.

3.2. Spot the unique toll-free number (“Unique Contest Number”) which will be flashed/featured on the Channel at random intervals during the Contest Period.

3.3. Give a missed call on the Unique Contest Number flashed during the Contest Period.

3.4. An entry will be considered valid only if the (a) Participant has given the missed call on the Unique Contest Number during the Contest Period, from a valid landline/mobile number registered with Service Provider, and (b) Participant has strictly complied with the Contest terms and conditions (“Contest Entry”)

3.5. Organizer may at its discretion send a ‘push short message service’ (‘push SMS’) to the Participant for their participation in the Contest, and if so, sent by Organizer, Participant hereby acknowledges, and willfully consents to receiving such push SMS.
5. During the Contest Period, the Unique Contest Number and/ or number of times the Unique Contest Number is flashed/featured on the Channel may differ as determined by the Organizer in its sole discretion. The Participants may participate more than once on an everyday basis to increase their chances/probability of winning, however each Winner of the Contest (as selected, and declared by Organizer, in the manner stated herein) shall be eligible to win only 1 (one) Prize (as determined by Organizer, in its sole discretion, and strictly in accordance with the terms and conditions stated herein).

6. Selection of Winner:

6.1. Shortlisted Participant:

a. At the end of the Contest Period or at any time after the Contest Period, from amongst the Participants who have submitted a valid Contest Entry, the Organizer shall at its sole discretion select, and shortlist 1 (one) telephone/mobile number of a Participant from which there has been most number of missed calls made to the Unique Mobile Number during the Contest Period, as Shortlisted Participant.

b. For sake of clarity, the Participant who’s telephone/mobile number is selected as per the aforementioned criteria shall be referred to as Shortlisted Participant, and shall be subject to further Verification. In the event there is a tie between two participants, then the same shall be resolved by identifying the mobile/telephone number from which the Unique Contest Number has received most amount of calls first before the other mobile/telephone numbers during the Contest Period, and the Participant owning such mobile/telephone number shall be considered as the Shortlisted Participant. Participation by Participant/Shortlisted Participant above 14 (fourteen) years (owning the mobile/telephone number which was used for participation in this Contest) shall be deemed for all purposes of this Contest, to be a participation done on behalf of an immediate family member who is within the age group of 4 (four) years to 14 (fourteen) years, a proof of which shall be provided to the Organizer (details of the documents required by Organizer are as specified further below in these terms and conditions), the validity of such proof shall be determined by the Organizer at its sole discretion.

c. The Organizer shall reach out to such Shortlisted Participant for telephonic verification, and further verification of documents at any time during/ after the Contest Period. Participants hereby acknowledge and agree that the decision of the Organizer in this regard particularly with respect to the timelines for conducting the telephonic verification, and document verification shall be final, and binding, and no questions shall be raised in this regard.

6.2. Verification:

a. Before being declared and announced as the final Winner, the Shortlisted Participant will be announced by Organizer on the Channel (or such other platform as determined by Organizer at their sole discretion) and such Shortlisted Participant shall be required to immediately provide the Organizer with such information (for themselves as well as their Companions (defined below), as required by Organizer) as asked for by the Organizers (including mobile number, e-mail address, residential address etc.), and also the following documents within 24 hours of such request by Organizer or such shorter period as communicated by the Organizer: a) PAN card b) Proof of identity cum permanent address proof – Aadhar card / Election card/Passport/ permanent Driver’s License, c) NOC/consent of guardian/parent, d) Birth Certificate/Identify certificate from schools, e) proof of ownership of the mobile/telephone number from which the calls were made to the Unique Contest Number, and such other documents as may be required by the Organizer from time to time, in such manner as required by Organizer. Upon successful verification of the documents submitted by the Shortlisted Participant to the satisfaction of the Organizer, Organizer shall announce such Shortlisted Participant as the final Winner of the Contest on the Channel or such other platform as decided by the Organizer, at its sole discretion (‘Winner’). For sake of clarity, Shortlisted Participant will be considered as final Winner only when he/she has been specifically declared as a Winner by the Organizer, and not merely when he/she has been contacted by Organizer, or has been announced as the Shortlisted Participant. Failure by Shortlisted Participant to provide the requisite document(s) to the Organizer, within the prescribed timeline as laid down by the Organizer, will lead to disqualification of such Shortlisted Participant, and the Organizer may announce another Shortlisted Participant in place of the originally announced Shortlisted Participant. It is hereby clarified that information and documents shall pertain to such Participant, and his/ her Companions only and not of any other person.

7. The selection of the Winner shall be strictly subject to satisfaction of verification, and strict compliance of the terms and conditions for this Contest. For avoidance of doubt, the selection of a Participant as a Shortlisted Participant/ Winner shall not relieve him/ her from the Rules, terms and conditions that are applicable on the Participants.

8. Date of Announcement of Winner:

Winner shall be announced on 09th December 2022, or on such date and time as determined by Organizer at their sole discretion.

9. Prize Details: The Winner declared by the Organizer would be entitled to win the prize as below:

9.1. Trip to Dubai and Abu Dhabi: The Winner along with three (3) Companions (defined below) shall get a two (2) nights, and three (3) days trip to Dubai, and Abu Dhabi, collectively worth approximately between Three Hundred Thousand Indian Rupees to Three Hundred Fifty Thousand Indian Rupees (between INR. 300,000/- to INR. 350,000/-)(“Prize”) from the Organizer. For the purpose of this Contest, Companions shall mean and include the immediate family members of the Winner, restricted to Winner’s father and/ or mother and/ or siblings only (“Companions”). The date and time of the trip to Dubai and Abu Dhabi shall be informed by Organizer, and shall be decided by the Organizer, at the sole discretion.

9.2. The Organizer shall only bear the cost of the Winner, and the three (3) Companions accompanying such Winner’s (i) return flight to Winner’s city or nearest major airport in economy class (subject to availability); (ii) travel insurance, as required under applicable travel laws, (iii) stay at hotel (upto 3 Star), at such place in Dubai and Abu Dhabi, subject to availability, as decided by the Organizer, at the sole discretion; and (iv) 3 (three) meals a day (i.e., breakfast, lunch, and dinner) at local restaurants (upto 3 Star), at such place in Dubai and Abu Dhabi, subject to availability, as decided by the Organizer, at the sole discretion. The Winner shall be solely responsible to organize, and bear all other costs including but not limited to visa, tour guide, other insurance, sightseeing and allied activity expenses, additional meals/snack/ food expenses, excess baggage, customs duties, local transport including but not limited to transportation to-and-fro from the place of residence of the Winner and Companions, till the airport in Mumbai, airport transfers etc. The Organizer shall not be responsible for any day on which the trip is extended, or any additional personal expenses undertaken by the Winner and/ or his/ her Companions . The Winner will have to arrange for his/ her and Companions’ visas to travel, and the Organizer shall provide the Winner with a “Winner” letter for processing the said visa. In case of rejection of visa, or any other hindrances to travel, the Organizer shall not be held responsible in any manner whatsoever. In the event, the airlines in which the Winner and/ or his/ her and Companions’ is booked on, is cancelled and/or delayed, the Winner and/ or his/ her and Companions’ shall not have the right to claim any damages or monies from Organizer. If the flights to Abu Dhabi, and/ or Dubai are cancelled and/or withdrawn, then the Winner’s right to the Prize shall be withdrawn and/or cancelled. Once any of the booking(s) are made, the Winner is not permitted/ allowed to cancel the journey. In the event, the Winner wishes to cancel the air tickets, travel insurance, meals, or any booking(s) made in the hotel, or any activities pre-decided by Organizer, if any, all such cost(s), charges and expenses for cancellation shall be solely borne by the Winner, and Prize will be forfeited.

9.3. All other costs and expenses not specifically covered by the Organizer, and not set out herein shall be solely borne by the Winner/Companions, and no monies will be reimbursed by the Organizer, for any reason whatsoever. All incidental costs, if any, that may arise from participating in the Contest will be borne by the Participant solely.

9.4. For the purpose of clarification, and avoidance of doubt, the Prize does not include any personal expenses of the Winner/ Companions, and the Winner/Companions shall be responsible for any additional expenses/incidental expenses required to be incurred to avail the Prize and/or incurred otherwise.

9.5. The Prize may be subject to additional terms and conditions as may be imposed, and informed by Organizer at any time whatsoever.

10. After the Winner is announced, the Winner is required to approach the Organizer along with his/her parent/ child / guardian/ companion, in a manner, informed by the Organizer, within 24 hours of announcement, and confirm the acceptance of the Prize along with providing requisite details as may be required by the Organizer. The Winner and each Winner’s parent/ guardian/ child/ companion may also be required to sign a release letter in the format required by the Organizer, and any confidentiality, and release agreement and/or any other documents, and writings, as may be required by the Organizer and/or its parent, subsidiary, and affiliate companies in relation to the Prize. The Organizer may either forfeit the Prize or announce another Winner in place of the originally announced Winner if:

10.1. the documents or details of the Winner, companions are not correct in the opinion of the Organizer; or

10.2. documents so required are incomplete, misleading, or untrue; or

10.3. the Winner’s, and respective parent/ guardian/ child / companion do not have valid passport(s) or such other documents as may be required for the purpose of the Prize;

10.4. the Winner and respective parent/ guardian/ child / companion do not sign the confidentiality, release letter or any other documents required, if any, by Organizer in relation to the Prize; or

10.5. if the Winner do not approach the Organizer at the contact details provided by the Organizer, within 24 hours of the announcement of the Prize or such other timelines as required by Organizer.

11. The Winner will be communicated of his/ her winning, by way of e-mail or such other mode as may be determined by the Organizer at its sole discretion.

12. In the event of unforeseen circumstances beyond the control of the Organizer, and the Prize, or any aspect thereof is not made available to the Winner, the Winner shall not have the right to claim any damages or monies from the Organizer, and by participating in this Contest the Winner waives his/her right to make any such claims against the Organizer.

13. The Participants, Shortlisted Participant, Winner on behalf of his/ her Companions acknowledges that the Organizer shall not be liable for any mishap, injury, accident, untoward incident, physical harm of any nature, death, loss of life or limb, etc., caused to him/her Companions, either before, during or after the collection of the Prize; or while traveling to-and-fro, from Mumbai to Dubai and/ or Abu Dhabi; and will not be attributed to the Organizer, and the Organizer shall not be held responsible towards the same nor shall be liable to indemnify or make good any claim being raised against it, for whatsoever nature.

14. The Participants/ Shortlisted Participant/ Winner acknowledge that the Organizer shall not be liable for any costs, expenses, charges, fees, taxes, etc. incurred by the Participant(s)/ Shortlisted Participant/ Winner in participating in the Contest, and the Participants/ Shortlisted Participant/ Winner shall be absolutely responsible and solely liable for the same. Prize not honoured as required or otherwise not claimed within twenty-four (24) hours after notification or otherwise if the Winner is not available on date, time and venue as indicated by the Organizer, the Prize will be forfeited and awarded to an alternate winner unless otherwise stated. No request shall be entertained by the Organizer in this behalf, and Organizer’s decision shall be final.

15. If the Winner and/ or his/her Companion(s) is found to be causing any disturbance or disruption before, during the trip to Dubai and/ or Abu Dhabi, then the Organizer and/or its affiliates shall have the right to immediately remove, disqualify or direct the Winner and/ or his/her Companion(s) to leave such location, failing which the Organizer’s representative shall forcefully remove the Winner and/ or his/her Companion(s) from such location. Any claim or damage for the same will neither be entertained nor compensated by the Organizer.

16. By participating in the Contest, and availing the Prize, the Participants/ Shortlisted Participant/ Winner agree to be bound by any terms and conditions, rules, regulations, guidelines or policies (“Rules”) associated with the Contest and agree to be bound by any decisions made by the Organizer, including any interpretations of such Rules by the Organizer. The Winner hereby represents and warrants that he/she and their child / parent/ guardian/ Companion will comply with all applicable laws in India, Dubai, Abu Dhabi, the Rules associated with the Contest including but not limited to the terms & conditions mentioned herein, and other terms and conditions associated with the Prize, and that the Winner and/ or his or her Companions shall personally be liable for any breach thereto.

17. Winner hereby acknowledges that all terms and conditions of this Contest (to the extent applicable) shall become applicable to the Companions, and Winner shall be solely responsible to ensure that the Companion complies with the all the terms and conditions, applicable laws of the country, and Rules.

18. The Winner expressly agrees that in addition to these terms and conditions the Winners shall comply with any terms and conditions that may be stipulated by Organizer and/or its parent, subsidiary, and affiliate companies in relation to the Contest, any airline carrier regulations, applicable laws, regulations, guidelines, and allied statutes of the land, and hotel/ restaurant/ mall/ store/ premises/ activity policies amongst others.

19. The Winner, and Winner on behalf of his/ her Companion(s) undertake to perpetually maintain confidentially of all materials and information relating to the programming details, strategy, visit to any Organizer’s offices or locations where Organizer programs are produced, and any other details that may come to the Winners, child’s / parent’s/ guardian’s/ companion’s knowledge with respect to the Prize including without limitation, photographs, artwork, images, scripts, plots, dialogue, themes, programming strategy, internal discussions, etc.

20. The Terms and Conditions of and in relation to this Contest as stated herein, is an electronic record in terms of Information Technology Act, 2000 (“Act”) and rules thereunder as applicable and the amended provisions pertaining to electronic records in various statutes as amended by the Information Technology (Amendment) Act, 2008 and as amended from time to time. This is a legal and binding agreement between the Participant and Organizer, that states the terms that govern the Participant’s participation in the Contest. By making the Contest Entry, the Participant agrees to have read and understood the terms and conditions and hereby unconditionally consents, agrees and undertakes to abide, be bound by and adhere to the terms and conditions stated herein

21. In the event of any violation to the applicable laws of the country, and Rules, Participants, shall be disqualified from the Contest with immediate effect. By participating in the Contest, the Participants/ Winner, and Winner on behalf of his/ her Companion also represent and warrant that they shall solely be liable for any and all action (criminal/civil) arising therefrom and shall also be liable to indemnify the Organizer for any loss, claim, dispute, disrepute, disruption caused to it.

22. The Participants confirm that the Contest Entry/ particulars of this Contest will not be uploaded/ publicized by Participants in any manner including on social networks/websites/blogs nor be discussed with any party, including without limitation the press, about any information relating to this Contest, including without limitation in relation to the Organizer or any of its employees, consultants or vendors. In the event of any violation to the aforementioned, the Organizer may in its sole discretion disqualify the Participant from the Contest with immediate effect. By participating in the Contest, the Participants also represent and warrant that they shall solely be liable for any and all actions arising therefrom, whether in India or internationally, and shall also be liable to indemnify the Organizer, and any of its affiliates etc. for any loss, claim, dispute, disruption caused to them.

23. Organizer reserves the right to disqualify a Participant/ Shortlisted Participant/ Winner at any time, if Organizer is of the opinion that the details and/or documents provided by the Participant/ Shortlisted Participant/ Winner is not to the Organizer’s satisfaction. The Organizer reserves the right to disqualify the Participant/ Shortlisted Participant/ Winner immediately from the Contest if the Organizer has reasons to believe that the Participant has supplied untruthful, inaccurate or misleading details and/or information, of any nature and/or have failed to abide by the Rules and/or are in breach of the terms hereof.

24. Mere participation in the Contest and providing the Contest Entry does not entitle the Participants to win the Contest. The selection process may vary and shall be as per the Organizer’s sole discretion. The Participant(s)/Winner(s) and/or the children/parents/guardians/companion(s) of such Participant(s)/ Shortlisted Participant/ Winner(s) and/or any third party shall have no right to question the process of selection. The Organizer may determine the validity of the Contest Entry in their sole discretion.

25. The Participants hereby agree and undertake that mere announcement/declaration of being announced as a Winner shall not entitle him/her to the Prize. Only upon fulfilling all Rules mentioned herein, to the satisfaction of the Organizer, including compliance with all precautionary measures, and agreeing to the terms of the release letter, amongst others, shall the winning be validated.

26. Inability of the Winner to make himself/herself present to/ avail the Prize for any reason whatsoever shall result in the disqualification of the Winner and disentitlement to the Prize. The Winner shall have no claims whatsoever against the Organizer for any reason.

27. The Organizer shall have the right to click photographs, take pictures, shoot audio-visuals, tape, record, exhibit or portray them as the Contest Winner and/or publish any content recorded during availing his/her Prize. By participating in the Contest and accepting the Prize, the Winner waives all copyrights and any related rights and consents to Organizer’s right to click photographs, take pictures, shoot audio-visuals, tape, record, exhibit or portray them as the Contest Winner and/or publish any content/ answers submitted by them. The Winners further grant irrevocable consent in perpetuity to use, edit, exhibit, publish and/or exploit the same, in any and all applications including advertising, commercials, promotion, stories, text, illustrations, articles and commercial exploitation, throughout the world, in any and all media, mode or format whether now existing or hereinafter developed, including but not limited to radio, broadcast and television, newspapers, magazines, and electronic media, at any time without the Winners’ further knowledge or consent and without any compensation whatsoever.

28. The Winner and Winner on behalf of his/ her Companions undertake not to divulge, publicize or disclose any details whatsoever, with respect to availing the Prize by the Winner, to any other person or on any media platform, including on-air, on-print and/or online.

29. The Organizer shall have the right, at its sole discretion, to change/ modify/ replace or omit the Prize listed above and the Winner shall not have the right to claim any damages or monies from the Organizer. By participating in this Contest, the Participants/ Winner waive their right to make any such or other claims against the Organizer.

30. The Organizer takes no responsibility, liability or any other expenses for the Winners and does not take any responsibility or liability in case the Prize is cancelled or re-scheduled or replaced for any reason whatsoever.

31. Notwithstanding anything contained herein, Organizer shall not be responsible to bear or reimburse any costs and expenses incurred by the Winner in availing the said Prize and/or incurred otherwise. All such costs / expenses incurred by the Winner and/ or his/ her Companion in availing the said Prize and/or incurred otherwise shall be borne solely by the Winner.

32. All incidental costs/ expenses, if any, that may arise from participating in the Contest will be borne by the Participant. The Organizer shall not be responsible for any loss of entries for any reason, whatsoever including but not limited to, losses due to any problems caused by telephone lines, service providers, network breakdowns, computer service delays, interruptions, network failures or overloads, or for lost, misdirected or misplaced entries, or for calls received after the Contest Period or for any reasons beyond the control of the Organizer. Any dispute in connection to the same shall be settled between the Participant and the Service Provider without involving Organizer. The internet and call charges (if any) that may arise from participating in the Contest will be borne by the Participant. All incidental costs/ expenses, if any, that may arise from participating in the Contest will be borne by the Participant solely.

33. Notwithstanding anything stated herein, any person who has won any one or more contests organized by the Organizer or contests organized for the channels Nick, Sonic, Nick Jr. and / or Nick HD+ in the immediately preceding 24 (twenty-four) months beginning from 17th October 2022, shall not be eligible to win the Contest.

34. The calls originating from a particular mobile/telephone number, made to the Unique Contest Number shall be deemed to be from the owner of the mobile/telephone number.

35. In the event of unforeseen circumstances beyond the control of the Organizer, and the Prize not being made available to the Winner, or the said Contest/ Prize being cancelled, the Winners shall not have the right to claim any damages or monies or replacement of Prizes from the Organizer and by participating in this Contest, the Winners waive their right to make any such claims against the Organizer.

36. Income tax, gift tax or any other statutory taxes, duties or levies as may be applicable from time-to-time, arising out of the Prizes, shall be borne and paid by the Organizer.

37. The Participants, Shortlisted Participant, Winner, Winner on behalf of his/ her Companion acknowledge that they or his/ her Companions do not have any medical, physical and/or emotional condition which can jeopardize their eligibility for participation in the Contest/ avail the Prize.

38. The Participants, Shortlisted Participant, Winner, Winner on behalf of his/ her Companion acknowledge that participation in the Contest/ availing the Prize does not entitle the Participant, Shortlisted Participant, Winner, Winner on behalf of his/ her Companion to any salary and/ or any other compensation from the Organizer.

39. The Organizer may at its discretion publicly announce the name of the Winner.

40. The Prize shall not be transferable, negotiable and/or redeemable for cash. No request shall be entertained by the Organizer in this behalf. Only the Winner and no other person can claim the Prize for or on behalf of the Winner.

41. Employees (including their immediate family) of the Organizer, its affiliates and associates and sponsors, are not permitted to participate in the Contest.

42. To enable registration of a Participant and/or to make the Prize available to the Winner and his/ her companion, personally identifiable information which shall include without limitation name, complete address, date of birth, citizenship details, passport details, email id, phone numbers/ Twitter /Instagram handle/ account name, display images etc. of the Participants/Winner and his/ her companion (“Personal Information”) will be collected by the Organizer to enable the Organizer to administer and promote this Contest and the Winners.

43. The Personal Information of the Winners shall be provided by the Organizer to others assisting the Organizer in this regard, including its affiliates, associates, authorities, agents, sponsors, employees, prize suppliers, distributors, deliverers and service providers (as applicable).

44. The Participants hereby agree and undertake that they shall not accept or undertake to accept/give or undertake to give, either directly or indirectly, any gifts, commission or other favor, of any kind whatsoever, to facilitate their winning the Contest. Any knowledge of such an act shall lead to immediate disqualification of such Participants and the Organizer shall be entitled to take any/all actions against such Participants, as deemed fit by it.

45. The Organizer shall not be responsible for the quality or deficiency of the Prize and no claim or request, whatsoever, in this respect shall be entertained by the Organizer.

46. The Organizer shall not entertain any questions, correspondence, enquiries on the manner of conduct of the Contest and grant of the Prize from any party whatsoever.

47. It is clarified that the Winner shall, in no circumstance, have any rights or claims against the Organizer.

48. The Organizer is not responsible for any errors or omissions in the terms & conditions contained herein. All information provided in the Contest is provided “as is” without warranty of any kind. The Organizer makes no representations and disclaims all express, implied and statutory warranties of any kind to the Participants and/or the Winner and/or any third party including, without limitation, warranties as to accuracy, timeliness, completeness, merchantability, or fitness for any particular purpose.

49. Participant(s)/ Shortlisted Participant/ Winner and Winner on behalf of his/ her companions undertake to indemnify and shall keep indemnified and hold harmless, the Organizer, its parent, affiliates, associates and group entities, and their respective directors, officers, employees and representatives from and against any and all claims (including third-party claims), demands, damages, losses, liabilities, costs and expenses arising out of or caused by the breach or alleged breach (if alleged by any third party and/or the Organizer) of any representation, warranty, covenant or undertaking made by the Participant(s)/ Shortlisted Participant/ Winner. The Organizer shall not be responsible to indemnify Participant(s)/ Shortlisted Participant/ Winner for any reason or breach whatsoever.

50. Under no circumstance, shall the Organizer and/or its parent, subsidiaries, associates, affiliates and group entities, and their respective directors, employees, officers, agents or representatives be liable to the Participants, Shortlisted Participant, and/or the Winners and/or any third party for any lost profits or lost opportunities, indirect, special, consequential, incidental, or punitive damages whatsoever, even if the Organizer has been advised of the possibility of such damages. The Participants, Shortlisted Participant, Winner, Winner on behalf of his/ her companion specifically agree not to file in person/through any family member and/or any third party, any applications, criminal and/or civil proceedings in any courts or forum in India/ Dubai / Abu Dhabi, against the Organizer, its parents, subsidiaries, associates, affiliates and group entities, and their respective directors, employees, officers, agents or representatives to claim any damages or relief in connection with the Contest.

51. It is the Participants’ responsibility to ensure that their Personal Information is updated/ accurate/ correct in order to be able to receive/ utilize/ avail the Prize/ notification in time.

52. The Organizer may, at any time, at its discretion, suspend, cancel, postpone the Contest, change these terms & conditions, the Rules and/or the Prize mentioned herein, without prior notice, and the Participants/ Shortlisted Participant/ Winner acknowledge that such change shall be final, binding and irrevocable upon them.

53. The Participants, Shortlisted Participant, Winners, and Winners on behalf of companions acknowledge that they will not hold the Organizer and/or any of its affiliates or agencies engaged by it with regard to this Contest liable for any loss of opportunity and/or monetary loss due to their participation in the Contest.

54. By participating in the Contest and accepting the Prize, the Winner waives all copyrights and any related rights and consents of the Organizer’s right to click photographs, take pictures, shoot audio-visuals, tape, record, exhibit or portray them as the Contest Winner and/or publish any content submitted by them. The Winner further grant irrevocable consent in perpetuity to use, edit, exhibit, publish and/or exploit the same, in any and all applications including advertising, commercials, promotion, stories, text, illustrations, articles and commercial exploitation, throughout the world, in any and all media, mode or format whether now existing or hereinafter developed, including but not limited to radio, broadcast and television, newspapers, magazines, and electronic media, at any time without the Winners’ further knowledge or consent and without any compensation whatsoever.

55. Participation herein is optional and voluntary at the sole discretion of the Participant, and Participation in this Contest implies acceptance and compliance of all the Rules of the Contest. Acceptance of the Prize by the Winner constitutes permission for Organizer, and its affiliates to shoot videos, click photographs of the Winner and/or his/ her Companions, and use the Winner’s and/ or his/ her Companions name, photographs, likeness, voice and comments for advertising and promotional purposes in any media worldwide for purposes of advertising and trade without any compensation/ gratification whatsoever.

56. The Organizer reserves the right to change/ modify terms and conditions and/ or criteria of the Contest and/or the Prize for the Contest and/or the Winners/ his/ her Companion, and/or the duration/ timing of the Contest, at any time at their own discretion and without any prior notice, and without assigning any reason. In case of any dispute or difference in respect of this Contest, decisions of the Organizer shall be final, binding, irrevocable, and is non-contestable.

57. The invalidity or unenforceability for any reason of any part of these Terms & Conditions shall not prejudice or affect the validity or enforceability of the remaining parts and each part of these Terms & Conditions is distinct and at all times severable from the rest of the Terms & Conditions.

58. No waiver of any rights by the Organizer will be taken as a waiver of any other rights it may have. For instance, if the Organizer waives its right to object to a particular breach of these terms and conditions by a Participant/ Shortlisted Participant/ Winner, it does not prevent the Organizer from objecting to any other breaches by that Participant/ Shortlisted Participant/ Winner or any other Participant/ Shortlisted Participant/ Winner.

59. The Contest shall be subject to the exclusive jurisdiction of competent Courts at Mumbai and the law applicable shall be Indian Law. The Contest shall not be valid and no participants from any city/state may participate if such contests and participation is prohibited as per applicable law in the states that they reside in/belong to.
