TERMS AND CONDITIONS

SONIC – LIFT YOUR GIFT CONTEST (“Contest”)

1. This Contest is organized by Viacom 18 Media Pvt. Ltd. (“Organizer”), and is open to all viewers of the Sonic channel and who meet the following requirements for participation (“Participant”):

1.1. are citizens of India;

1.2. are between the ages of 4 (four) to 14 (fourteen) years.

(a) participation in this Contest will be deemed as participation with the prior knowledge and unconditional consent of the Participant’s parents/guardians;

(b) these Contest terms and conditions are applicable to the parents/guardians of such Participants.

It is made abundantly and evidently clear that such Participants are participating in the Contest with the consent and assistance of their parents/guardians. Accordingly, the Participants shall provide all the necessary documents/proof as required by the Organizer upon its request in this regard;

1.3. have not won any contest conducted by the Organizer on Nickelodeon/Sonic/Nickelodeon Jr./Nickelodeon HD+ in the preceding 24 months; and

1.4. have a permanent place of residence in India.

2. The Contest shall commence on 19th December, 2022, and end on 6th January, 2023, or on such other dates, and time as decided by the Organizer (“Contest Period”). Any entries received after the Contest Period shall not be entertained, and shall be considered ineligible for the Contest.

3. Modes of Participation: To participate in the Contest, the Participant will be required to:

3.1. Watch Sonic during the Contest Period Monday through Friday (“Contest Day/s”) between 2pm to 4pm and give a missed call on the toll-free number that appears on screen.

4. Selection of Winners: For every Contest Day during the Contest Period, the Participant making the maximum number of missed calls as per Organizer’s records will be selected as a daily prize winner (“Daily Prize Winner”). During the entire Contest Period, the Participant making the maximum number of missed calls as per Organizer’s records will be selected as the bumper prize winner (“Bumper Prize Winner”).Every Daily Prize Winner and the Bumper Prize Winner shall be individually referred to as Winner and collectively as Winners. Thus, there will be a total of sixteen (16) Winners, comprising of one (1) Bumper Prize Winner and fifteen (15) Daily Prize Winners for the Contest. Organizer reserves rights to select the Winners at its sole discretion as it deems appropriate and Organizer’s decision shall be final and binding. The announcement of the Winners shall be on 28th February, 2023, or on such dates as might be determined by the Organizer at its discretion. The Winners shall be eligible for Prize as detailed below as per mechanism and conditions laid down in this terms and conditions or otherwise stipulated by the Organizer from time to time.

5. Before or after being declared and announced as the Winner, the shortlisted Participants may be contacted by the Organizer, at any time, for verification to obtain requisite information. Such Participants shall be required to immediately provide the Organizer with all such information (of themselves as well as their family members, as stated hereinafter), as requested by the Organizer (including but not limited to alternative mobile number, e-mail address, residential address, details of passport etc.), and shall also be required to provide any or all of following documents in its original form or copies, as per the Organizer’s request, within 24 hours of such request by Organizer or such shorter period as communicated by the Organizer, which shall include: any two (2) of the following personal and residential identification proofs such as a) valid Passport, b) PAN card, c) Proof of citizenship – Aadhar card / Election card/Passport/ permanent Driver’s License, d) Birth Certificate/Identify certificate from school AND a) copy of NOC/consent of guardian/parent, b) such other documents, as may be required by the Organizer, from time to time, in such manner as required by Organizer. Failure to provide the requisite document(s) within the prescribed timeline will lead to disqualification of the Participant. Upon verification of the documents submitted by the shortlisted Participants to the satisfaction of the Organizer, Organizer shall announce the final Winners as decided by the Organizer at its sole discretion. For sake of clarity, from the list of shortlisted Participants, a Participant will be considered as final Winner only when he/she has been specifically declared as a Winner by the Organizer, and not merely when he/she has been contacted by Organizer or has been announced as the shortlisted Participants. The Winner acknowledges, agrees and understands that failure to provide any of the aforementioned documents/details or any other details as requested by the Organizer shall make the Winner liable for disqualification as a Winner. Such Participant shall not be entitled to make any claims or demands on the Organizer in this regard.

6. The selection of the Winner shall be strictly subject to satisfaction of verification, and strict compliance of the terms and conditions for this Contest. The Organizer may, at its discretion, publicly announce the names of the Winner. For avoidance of doubt, the selection of a Participant as a Winner shall not relieve them from the Rules, terms and conditions that are applicable on the Participant.

7. Prize Details: The Winners declared by the Organizer would be entitled to win the prize (“Prize”) as below:

7.1. Daily Prize Winner: Each Daily Prize Winner shall be entitled to receive any one (1) of the following items: (a) instant camera; or (b) Wireless earbuds; or (c) VR Headset; or (d) Smartwatch; or (e) Gaming console; or (f) any other prize, as per availability and discretion of the Organizer. It is hereby clarified that the Daily Prize Winner shall not be entitled to pick his/her prize from the aforementioned items, and Organizer’s decision on the same shall be final and binding.

7.2. Bumper Prize Winner: The Bumper Prize Winner shall be entitled to receive an iPhone Mini worth INR 69,900/- or any other prize, as per availability and discretion of the Organizer.

7.3. Aside from the cost of the Prize, all other costs and expenses not specifically covered by the Organizer, and not set out herein shall be solely borne by the Winner, and no monies will be reimbursed by the Organizer, for any reason whatsoever. All incidental costs, if any, that may arise from participating in the Contest or availing the Prize will be borne by the Participant solely.

7.4. The Prize may be subject to additional terms and conditions as may be imposed, and informed by Organizer at any time whatsoever.

8. After the Winner is announced, the Winner is required to approach the Organizer along with his/her parent/guardian, in a manner, informed by the Organizer, within 24 hours of announcement, and confirm the acceptance of the Prize along with providing requisite details as may be required by the Organizer. The Winner and each Winner’s parent/ guardian may also be required to sign a release letter in the format required by the Organizer, and any confidentiality, and release agreement and/or any other documents, and writings, as may be required by the Organizer and/or its parent, subsidiary, and affiliate companies in relation to the Prize. The Organizer may either forfeit the Prize or announce another Winner in place of the originally announced Winner if:

8.1. the documents or details of the Winner are not correct in the opinion of the Organizer; or

8.2. documents so required are incomplete, misleading, or untrue; or

8.3. the Winner’s, and respective parent/ guardian do not have such documents as may be required for the purposes of the Contest;

8.4. the Winner and respective parent/ guardian do not sign the confidentiality, release letter or any other documents required, if any, by Organizer in relation to the Prize; or

8.5. if the Winner do not approach the Organizer at the contact details provided by the Organizer, within 24 hours of the announcement of the Prize or such other timelines as required by Organizer.

9. The Winner will be communicated of his/ her winning, by way of e-mail or such other mode as may be determined by the Organizer at its sole discretion.

10. In the event of unforeseen circumstances beyond the control of the Organizer, and the Prize, or any aspect thereof is not made available to the Winner, the Winner shall not have the right to claim any damages or monies from the Organizer, and by participating in this Contest the Winner waives his/her right to make any such claims against the Organizer.

11. The Participants, and Winners acknowledge that the Organizer shall not be liable for any mishap, injury, accident, untoward incident, physical harm of any nature, death, loss of life or limb, etc., caused to him/her, either before, during or after the collection of the Prize; and will not be attributed to the Organizer shall not be held responsible towards the same nor shall be liable to indemnify or make good any claim being raised against it, for whatsoever nature.

12. The Participants/Winner acknowledge that the Organizer shall not be liable for any costs, expenses, charges, fees, taxes, etc. incurred by the Participant(s)/Winner in participating in the Contest, and the Participants/Winner shall be absolutely responsible and solely liable for the same. Prize not honoured as required or otherwise not claimed within twenty-four (24) hours after notification or otherwise if the Winner is not available on date, time and venue as indicated by the Organizers, the Prize will be forfeited and awarded to an alternate winner unless otherwise stated. No request shall be entertained by the Organizer in this behalf, and Organizer’s decision shall be final.

13. By participating in the Contest, the Participants agree to be bound by any terms and conditions, rules, regulations, guidelines or policies (“Rules”) associated with the Contest and agree to be bound by any decisions made by the Organizer, including any interpretations of such Rules by the Organizer. The Winner hereby represents and warrants that he/she will comply with all applicable laws in India, the Rules associated with the Contest including but not limited to the terms & conditions mentioned herein, and other terms and conditions associated with the Prize, and that the Winner shall personally be liable for any breach thereto.

14. The Terms and Conditions of and in relation to this Contest as stated herein, is an electronic record in terms of Information Technology Act, 2000 (“Act”) and rules thereunder as applicable and the amended provisions pertaining to electronic records in various statutes as amended by the Information Technology (Amendment) Act, 2008 and as amended from time to time. This is a legal and binding agreement between the Participant and Organizer, that states the terms that govern the Participant’s participation in the Contest. By making the Contest Entry, the Participant agrees to have read and understood the terms and conditions and hereby unconditionally consents, agrees and undertakes to abide, be bound by and adhere to the terms and conditions stated herein

15. In the event of any violation to the Rules, Participants shall be disqualified from the Contest with immediate effect. By participating in the Contest, the Participants also represent and warrant that they shall solely be liable for any and all action (criminal/civil) arising therefrom and shall also be liable to indemnify the Organizer for any loss, claim, dispute, disrepute, disruption caused to it.

16. The Participants confirm that the toll free number displayed pursuant to the Contest will not be uploaded/ publicized by Participants in any manner including on social networks/websites/blogs nor be discussed with any party, including without limitation the press, about any information relating to this Contest, including without limitation in relation to the Organizer or any of its employees, consultants or vendors. In the event of any violation to the aforementioned, the Organizer may in its sole discretion disqualify the Participant from the Contest with immediate effect. By participating in the Contest, the Participants also represent and warrant that they shall solely be liable for any and all actions arising therefrom, and shall also be liable to indemnify the Organizer, and any of its affiliates etc. for any loss, claim, dispute, disruption caused to them.

17. Organizer reserves the right to disqualify a Participant/Winner at any time, if Organizer is of the opinion that the details and/or documents provided by the Participant/Winner is not to the Organizer’s satisfaction. The Organizer reserves the right to disqualify the Participant immediately from the Contest if the Organizer has reasons to believe that the Participant has supplied untruthful, inaccurate or misleading details and/or information, of any nature and/or have failed to abide by the Rules and/or are in breach of the terms hereof.

18. Mere participation in the Contest and giving a missed call to the toll-free number does not entitle the Participants to win the Contest. The selection process may vary and shall be as per the Organizer’s sole discretion. The Participant(s)/Winner(s) and/or any third party shall have no right to question the process of selection. The Organizer shall solely rely on its records to determine the Winners in their sole discretion.

19. The Participants hereby agree and undertake that mere announcement/declaration of being announced as a Winner shall not entitle him/her to the Prize. Only upon fulfilling all Rules mentioned herein, to the satisfaction of the Organizer, including compliance with all precautionary measures, and agreeing to the terms of the release letter, amongst others, shall the winning be validated.

20. Inability of the Winner to make himself/herself present to/ avail the Prize for any reason whatsoever shall result in the disqualification of the Winner and disentitlement to the Prize. The Winner shall have no claims whatsoever against the Organizer for any reason.

21. The Organizer shall have the right to click photographs, take pictures, shoot audio-visuals, tape, record, exhibit or portray them as the Contest Winner and/or publish any content recorded during availing his/her Prize. By participating in the Contest and accepting the Prize, the Winner waives all copyrights and any related rights and consents to Organizer’s right to click photographs, take pictures, shoot audio-visuals, tape, record, exhibit or portray them as a Contest Winner. The Winners further grant irrevocable consent in perpetuity to use, edit, exhibit, publish and/or exploit the same, in any and all applications including advertising, commercials, promotion, stories, text, illustrations, articles and commercial exploitation, throughout the world, in any and all media, mode or format whether now existing or hereinafter developed, including but not limited to radio, broadcast and television, newspapers, magazines, and electronic media, at any time without the Winners’ further knowledge or consent and without any compensation whatsoever.

22. The Winner undertakes not to divulge, publicize or disclose any details whatsoever, with respect to availing the Prize by the Winner, to any other person or on any media platform, including on-air, on-print and/or online.

23. The Organizer shall have the right, at its sole discretion, to change/ modify/ replace or omit the Prize listed above and the Winner shall not have the right to claim any damages or monies from the Organizer. By participating in this Contest, the Participants/ Winner waive their right to make any such or other claims against the Organizer.

24. The Organizer takes no responsibility, liability or any other expenses for the Winners and does not take any responsibility or liability in case the Prize is cancelled or replaced for any reason whatsoever.

25. Notwithstanding anything contained herein, Organizer shall not be responsible to bear or reimburse any costs and expenses incurred by the Winner in availing the said Prize and/or incurred otherwise. All such costs / expenses incurred by the Winner in availing the said Prize and/or incurred otherwise shall be borne solely by the Winner.

26. The Organizer shall not be responsible for any loss of entries for any reason, whatsoever including, due to any problems caused by telephone lines, service providers, network breakdowns, computer service delays, interruptions, network failures or overloads, or for lost, misdirected or misplaced entries, or for entries received after the Contest Period, for prizes not reaching the Winner due to any reasons, or for any reasons beyond the control of the Organizer.

27. In the event of unforeseen circumstances beyond the control of the Organizer, and the Prize not being made available to the Winner, or the said Contest/ Prize being cancelled, the Winners shall not have the right to claim any damages or monies or replacement of Prizes from the Organizer and by participating in this Contest, the Winners waive their right to make any such claims against the Organizer.

28. Income tax, gift tax or any other statutory taxes, duties or levies as may be applicable from time-to-time, arising out of the Prizes, if, in excess of Rs. 10,000/- shall be borne and paid by the Organizer.

29. The Participants acknowledge that they do not have any medical, physical and/or emotional condition which can jeopardize their eligibility for participation in the Contest.

30. The Participants acknowledge that participation in the Contest/ availing the Prize does not entitle the Participant to any salary and/ or any other compensation from the Organizer.

31. The Organizer may at its discretion publicly announce the name of the Winner.

32. The Prize shall not be transferable, negotiable and/or redeemable for cash. No request shall be entertained by the Organizer in this behalf. Only the Winner and no other person can claim the Prize for or on behalf of the Winner.

33. Employees (including their immediate family) of the Organizer, its affiliates and associates and sponsors, are not permitted to participate in the Contest.

34. To enable registration of a Participant and/or to make the Prize available to the Winner, personally identifiable information which shall include without limitation name, complete address, date of birth, citizenship details, passport details, email id, phone numbers/ Twitter /Instagram handle/ account name, display images etc. of the Participants/Winner (“Personal Information”) will be collected by the Organizer to enable the Organizer to administer and promote this Contest and the Winners.

35. The Personal Information of the Winners shall be provided by the Organizer to others assisting the Organizer in this regard, including its affiliates, associates, authorities, agents, sponsors, employees, prize suppliers, distributors, deliverers and service providers (as applicable).

36. The Participants hereby agree and undertake that they shall not accept or undertake to accept/give or undertake to give, either directly or indirectly, any gifts, commission or other favor, of any kind whatsoever, to facilitate their winning the Contest. Any knowledge of such an act shall lead to immediate disqualification of such Participants and the Organizer shall be entitled to take any/all actions against such Participants, as deemed fit by it.

37. The Participants or any third party shall have no right to question the brand, model, nature, form, type, cost, color or any other aspect of the Prize nor can question the Prize item decided by the Organizer to be given to a particular Winner. Participants acknowledge agree and affirm that the distribution of the Prize shall, at all times, be subject to availability of the same in the market for public sale. Each Winner understands that entitlement to the Prize shall be subject to strict compliance of terms and conditions hereunder or otherwise specified by Organizer from time to time.

38. Standard product warranty only if and to the extent provided by the manufacturer of the Prize will be applicable. Organizer is not liable nor obligated to provide Winner with any additional documentation, invoices etc. in relation to the Prize including for availing any facilities/warranties on the Prize.

39. The Organizer shall not be responsible for the quality or deficiency of the Prizes and no claim or request, whatsoever, in this respect shall be entertained by the Organizer. The Winner shall directly contact the manufacturer in relation to the same without any recourse to the Organizer.

40. The Organizer shall not entertain any questions, correspondence, enquiries on the manner of conduct of the Contest and grant of the Prize from any party whatsoever.

41. It is clarified that the Winner shall, in no circumstance, have any rights or claims against the Organizer.

42. The Organizer is not responsible for any errors or omissions in the terms & conditions contained herein. All information provided in the Contest is provided “as is” without warranty of any kind. The Organizer makes no representations and disclaims all express, implied and statutory warranties of any kind to the Participants and/or the Winner and/or any third party including, without limitation, warranties as to accuracy, timeliness, completeness, merchantability, or fitness for any particular purpose.

43. Under no circumstance, shall the Organizer and/or its parent, subsidiaries, associates, affiliates and group entities, and their respective directors, employees, officers, agents or representatives be liable to the Participants and/or the Winners and/or any third party for any lost profits or lost opportunities, indirect, special, consequential, incidental, or punitive damages whatsoever, even if the Organizer has been advised of the possibility of such damages. The Participants and Winners specifically agree not to file in person/through any family member and/or any third party, any applications, criminal and/or civil proceedings in any courts or forum against the Organizer, its parents, subsidiaries, associates, affiliates and group entities, and their respective directors, employees, officers, agents or representatives to claim any damages or relief in connection with the Contest.

44. It is the Participants’ responsibility to ensure that their Personal Information is updated/ accurate/ correct in order to be able to receive/ utilize/ avail the Prize/ notification in time.

45. The Organizer may, at any time, at its discretion, suspend, cancel, postpone the Contest, change these terms & conditions, the Rules and/or the Prize mentioned herein, without prior notice, and the Participants/Winner acknowledge that such change shall be final, binding and irrevocable upon them.

46. The Participants acknowledge that they will not hold the Organizer and/or any of its affiliates or agencies engaged by it with regard to this Contest liable for any loss of opportunity and/or monetary loss due to their participation in the Contest.

47. By participating in the Contest and accepting the Prize, the Winner waives all copyrights and any related rights and consents of the Organizer’s right to click photographs, take pictures, shoot audio-visuals, tape, record, exhibit or portray them as the Contest Winners and/or publish any content submitted by them. The Winners further grant irrevocable consent in perpetuity to use, edit, exhibit, publish and/or exploit the same, in any and all applications including advertising, commercials, promotion, stories, text, illustrations, articles and commercial exploitation, throughout the world, in any and all media, mode or format whether now existing or hereinafter developed, including but not limited to radio, broadcast and television, newspapers, magazines, and electronic media, at any time without the Winners’ further knowledge or consent and without any compensation whatsoever.

48. Participation herein is optional and voluntary at the sole discretion of the Participant, and Participation in this Contest implies acceptance and compliance of all the Rules of the Contest. Acceptance of the Prize by the Winner constitutes permission for Organizer, and its affiliates to shoot videos, click photographs of the Winner, and use the Winner’s name, photographs, likeness, voice and comments for advertising and promotional purposes in any media worldwide for purposes of advertising and trade without any compensation/ gratification whatsoever.

49. The Organizer reserves the right to change/ modify terms and conditions and/ or criteria of the Contest and/or the Prize for the Contest and/or the Winners, and/or the duration/ timing of the Contest, at any time at their own discretion and without any prior notice, and without assigning any reason. In case of any dispute or difference in respect of this Contest, decisions of the Organizer shall be final, binding, irrevocable, and is non-contestable.

50. The invalidity or unenforceability for any reason of any part of these Terms & Conditions shall not prejudice or affect the validity or enforceability of the remaining parts and each part of these Terms & Conditions is distinct and at all times severable from the rest of the Terms & Conditions.

51. No waiver of any rights by the Organizer will be taken as a waiver of any other rights it may have. For instance, if the Organizer waives its right to object to a particular breach of these terms and conditions by a Participant/Winner, it does not prevent the Organizer from objecting to any other breaches by that Participant/Winner or any other Participant/Winner.

52. The Contest shall be subject to the exclusive jurisdiction of competent Courts at Mumbai and the law applicable shall be Indian Law. The Contest shall not be valid and no participants from any city/state may participate if such contests and participation is prohibited as per applicable law in the states that they reside in/belong to.
